Dans la plupart des cas, il faut faire appel \u00e0 des professionnels et des outils pour effectuer les retraitements n\u00e9cessaires \u00e0 partir des documents comptables.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">2) Quand et pourquoi valoriser son entreprise\u00a0?<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Valoriser une entreprise peut se faire \u00e0 toutes les \u00e9tapes de la vie de celle-ci. Elle peut \u00eatre r\u00e9alis\u00e9e dans diff\u00e9rents cas&nbsp;: <\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>Lorsque le dirigeant souhaite simplement connaitre la valeur de son entreprise \u00e0 un instant donn\u00e9;<\/li><li>Lorsqu\u2019il souhaite c\u00e9der son entreprise;<\/li><li>Lorsqu\u2019il souhaite acqu\u00e9rir une autre entreprise pour \u00e9largir son activit\u00e9 \u00e0 partir d&rsquo;op\u00e9rations de fusion-acquisition;<\/li><li>A l&rsquo;occasion de l&rsquo;\u00e9tablissement des comptes annuels de la soci\u00e9t\u00e9;<\/li><li>Ou tout simplement lorsqu&rsquo;il pr\u00e9pare son d\u00e9part \u00e0 la retraite.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">3) Qu\u2019est-ce qu\u2019on valorise dans une entreprise\u00a0?<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Dans une entreprise, on peut calculer sa performance \u00e9conomique et financi\u00e8re et sa capacit\u00e9 \u00e0 cr\u00e9er de la valeur. C&rsquo;est cette valorisation qui permet de d\u00e9terminer une fourchette de prix sur le march\u00e9. Ces professionnels utilisent g\u00e9n\u00e9ralement des outils d\u00e9di\u00e9s pour faire de la valorisation. Les deux principales approches en mati\u00e8re de valorisation sont celle dite patrimoniale et celle par la rentabilit\u00e9. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">L&rsquo;approche patrimoniale consiste \u00e0 valoriser le patrimoine de l&rsquo;entreprise et l&rsquo;approche par la rentabilit\u00e9 se compose de plusieurs autres m\u00e9thodes.<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li><strong>L&rsquo;approche patrimoniale:<\/strong> Cette m\u00e9thode se sert du bilan pour valoriser l&rsquo;entreprise. En partant de l&rsquo;actif et du passif, on effectue un certain nombre de retraitements pour obtenir la valeur nette de l&rsquo;entreprise pour d\u00e9terminer l&rsquo;actif net comptable corrig\u00e9. Par exemple, \u00e0 taille \u00e9gale, une entreprise industrielle \u00e0 forte intensit\u00e9 capitalistique n&rsquo;aura pas la m\u00eame valeur qu&rsquo;une entreprise de n\u00e9goce.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">En d\u00e9finitive, ce qu&rsquo;il faut retenir dans le cadre d\u2019une cession ou d&rsquo;une acquisition, et ce, quelle que soient les m\u00e9thodes utilis\u00e9es, c&rsquo;est que la valorisation est le pilier fondamental du projet.
