Valorisation d’entreprise et commerce \u00e0 reprendre<\/h2>\n\n\n\n

Quand on est repreneur d\u2019entreprise ou de commerce, il est essentiel de faire un business plan qui inclue le prix de la reprise d\u2019entreprise sans oublier de travailler sur les immobilisations. Dans le pr\u00e9visionnel, il faut int\u00e9grer le remboursement de la dette s\u00e9nior. Le c\u00e9dant qui vous vend une croissance dans le cadre de sa transmission vous leurre. Trop souvent, on entend mon entreprise a du potentiel !  On voit bien que ce n\u2019est pas c\u00e9dant qui va devoir rembourser la dette mais bien le repreneur. Et oui quand on rach\u00e8te une entreprise, on cr\u00e9e de la dette financi\u00e8re. Reprendre c’est entreprendre.<\/p>\n\n\n\n

Dans mon ancienne vie, j\u2019ai eu \u00e0 travailler sur des fusions et acquisitions entre personnes morales. L\u00e0 on parle d\u2019une personne physique. Quand cela va mal on ne fait pas de restructuration de cr\u00e9ances boursi\u00e8res d\u2019entreprise.<\/p>\n\n\n\n

\u00c9valuation d’entreprise<\/h2>\n\n\n\n

Qui fixe la valeur de l\u2019entreprise ? Sujet \u00e0 traiter d\u00e8s le d\u00e9part ! et non pas \u00e0 la fin !  Avant d\u2019aller voir le c\u00e9dant ou un entrepreneur en approche directe, ne passez pas des heures \u00e0 analyser le compte de r\u00e9sultat ! Faites une analyse flash et analyser les concurrents<\/a>.<\/p>\n\n\n\n

\u00c9tude de march\u00e9 :  benchmarkez les valorisations autour des fonds propres, cash flow, capitaux propres, liquidit\u00e9, fond de roulement.<\/p>\n\n\n\n

Cela vaut toutes les analyses financi\u00e8res.<\/p>\n\n\n\n

Audit d’acquisition<\/h2>\n\n\n\n

Passez vite sur la valorisation et concentrez-vous sur un d\u2019audit acquisition non pas financier mais humain. Dans mon cas, je me suis mont\u00e9 en micro entrepreneur pour travailler chez le dirigeant afin de conna\u00eetre l\u2019entreprise avant de la racheter.<\/p>\n\n\n\n

Audit financier : Faites vous accompagner par votre expert-comptable, il vous aidera \u00e0 anticiper avec un plan de financement.<\/p>\n\n\n\n

Une reprise d\u2019entreprise et une cr\u00e9ation d\u2019entreprise ont un point commun, un entrepreneur !<\/p>\n\n\n\n

Et apr\u00e8s…Croissance externe<\/h2>\n\n\n\n

Dans mon cas, j\u2019ai achet\u00e9 l\u2019entreprise concurrente de celle que j\u2019avais cibl\u00e9e.<\/p>\n\n\n\n

Fuyez les entreprises et commerces en difficult\u00e9s. Celle-ci sont r\u00e9serv\u00e9es aux personnes morales !<\/p>\n\n\n\n

Quand on vous remet les clefs de l\u2019entreprise ne vous concentrez pas uniquement sur la gestion d\u2019entreprise mais pensez au d\u00e9veloppement commercial pour assurer la croissance du chiffre d\u2019affaires tout en ayant une vision sur les flux de tr\u00e9sorerie.<\/p>\n\n\n\n

Dans mon cas j\u2019ai pu acqu\u00e9rir mon entreprise  en 2015 et cette ann\u00e9e 2018 je faire une croissance externe :  un premier effet de levier.<\/p>\n\n\n\n
